| The term franchise refers to a type of business in
which an entity or an individual receives a license
to conduct a commercial enterprise. Franchises enable
a franchisee to market a well-known product or service
in return for an initial fee and an on-going payment.
The franchisor usually provides assistance with management,
merchandising and advertising. Major franchise networks,
which have grown rapidly in the United States since
the 1960s, include fast-food restaurants, gasoline stations,
motels, automobile dealerships, and real-estate agencies,
with the concept expanding into many other fields. |

| Kenneth F. Darrow, is a member of the American
Bar Association's Business Law Section and the
Forum on Franchising, and the former chair of
the Forums Solo and Small Firm Network. He is
a founding member of the Franchise Law Committee
of the Business Law Section of the Florida Bar,
a former Vice-Chair and Chair of that Committee
and is a speaker at that Committee's regularly
scheduled seminar. He has also lectured on various
aspects of franchise law for other sponsoring
organizations, including the American Bar Association. |

| Mr. Darrow is a member of the Florida Bar and
is currently a member of the Antitrust, Franchise
and Trade Regulation Committee and the Legislation
Committee of the Business Law Section of the Florida
Bar and a former member of the Council of Franchise
Suppliers of the International Franchise Association.
Mr. Darrow was a contributing author to Florida
Franchise Law and Practice, published by the
Florida Bar in 1984, and served as Co chair
of the Steering Committee for and was a contributing
author to the revised edition, Franchise Law
and Practice, published in 1993. He served as
Project Coordinator and was a contributing author
to the second edition of that text, published
in June 1996. Mr. Darrow was also a contributor
to Fundamentals of Franchising, published by
the American Bar Association Forum on Franchising
in 2008.
Mr. Darrow was selected as a Leading Florida
Attorney and one of the Outstanding Young Men
of America in 1979. He is listed in Who's Who
in American Law and he is included in The Best
Attorneys Network, an honor reserved for only
5% of attorneys nationwide .
Mr. Darrow received his Bachelor of Science
Degree in Business Administration in 1966 from
Lehigh University, cum laude and his Juris Doctor
Degree from Georgetown University Law Center
in 1969, where he was an editor of the Law Journal
and authored several articles. He served as
a law clerk to the Honorable Norman O. Tietjens,
of the United States Tax Court. Mr. Darrow is
also admitted to practice in the District of
Columbia and Illinois.
Prior to forming Kenneth F. Darrow, P.A.,
Mr. Darrow held positions in law firms in Miami,
Florida and Chicago, Illinois and was a staff
attorney with the Chief Counsel's Office of
the Internal Revenue Service.
